Corporate Charter

Dated: 2950-06-06

Article I: Name

The name of this corporation is Solaris Ventum LLC.

Article II: Purpose

The purpose of this corporation is to engage in the business of trading goods and services between different planets and systems in the Star Citizen universe.

Article III: Principal Office

The principal office of this corporation shall be located at PO Box 1234, Central Business District, Lorville, Hurston.

Article IV: Registered Agent

The registered agent of this corporation shall be Goldwep, whose address shall be PO Box 5185, Commercial District Circle C, Area 18 ArcCorp.

Article V: Capital

The authorized capital stock of this corporation shall be 100,000 shares of common stock, with a par value of $1 per share.

Article VI: Management

The management of this corporation shall be vested in the Owner, who is also Goldwep. The Owner may establish and abolish a board of directors at his or her discretion. If a board of directors is established, it shall consist of not less than three (3) and not more than five (5) members. The members of the board of directors shall be elected by the Owner.

The board of directors shall have the power to establish and maintain three branches of the organization, to wit:

Private Arms, which shall be responsible for managing paramilitary operations;
Logistics, which shall be responsible for cargo management, loading and unloading of physical goods, and storage; and
Acquisitions, which shall be responsible for mining operations, salvage operations, and receiving and delivering assets to customers or other organizations.
Each branch shall be headed by a director who shall be appointed by the board of directors. The directors shall have the power to establish and maintain such subordinate positions and to delegate such authority as they deem necessary for the efficient operation of their respective branches.

The board of directors shall have the power to review and approve the budgets of the three branches and to make such adjustments as they deem necessary. The board of directors shall also have the power to review and approve the policies and procedures of the three branches.
